Soch is an audio visual platform dedicated to raising awareness of political and social justice causes. The platform [including any website(s) and application(s)] is owned, organized, and operated by Green & White.

This user agreement (“User Agreement”) governs your use of the website(s), page(s), application(s), service(s), and any other related pages/sites/applications (collective, “www.sochvideos.com”) provided by Green & White, its subsidiaries and its affiliates, (together, “we”, “us” and “our”) as part of Soch Videos sochvideos.com, Soch Videos. Therefore, you are encouraged to read it carefully.

Acceptance of our User Agreement:
1. Your access to and use of the Site is subject to the following terms and conditions and all applicable laws. By installing, accessing, browsing, or using our Site you agree, without limitation or qualification, to the terms and conditions stated in this User Agreement and our Privacy Policy. If you do not agree to them, please DO NOT USE THIS SITE. For information concerning the collection and use of information by Green & White, please refer to our Privacy Policy.
Account Registration:
1. You must provide accurate, current, and complete information about yourself as prompted by the Site’s registration form (“Registration Information”) at the time of registration of an account.
2. The Registration Information provided by you must be kept correct and up-to-date at all times and you must update any part of the Registration Information that is no longer accurate.
3. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof), in addition to any other remedies available to us.
4. Users may not have multiple accounts. Therefore, you must refrain from creating multiple accounts.

Age:
1. All original content/works displayed, materials embodied, and code used in the Site are owned by Green & White and the ownership of the intellectual property in the same (including, but not limited to any trademark or copyright) solely vests in Green & White. Without limitation, as between any user and Green & White, Green & White owns the intellectual property in all materials used in the content (including, without limitation, the selection, coordination, arrangement and enhancement thereof), as well as in the content original to Green & White.
2. “Soch Videos”, the “Soch Videos” logo, as well as other marks that may appear on the Site (“Marks”), are the service and trademarks of Green & White. All other trademarks, service marks and logos used on this Site, with or without attribution, are the trademarks, service marks or logos of their respective owners. Without Green & White’s written permission, you agree not to display or use, in any manner, the Marks. In addition, elements of the Site are protected by trade dress and may not be copied, reproduced, downloaded, or distributed in any way, in whole or in part, without the written permission of Green & White.
3. The content or other material that you see or read on the Site may not be used except as follows: you may download one copy of the content on any single computer for your personal, non-commercial use, provided you keep intact any copyright and other proprietary notices and do not modify the content in any way. You may not modify, reuse, re-post, or use the content for public or commercial purposes without our written permission. For the avoidance of doubt, this single computer, non-commercial, non-transferable, non-exclusive, limited license, is revocable at our sole discretion.
4. Green & White respects the intellectual property rights of others. Therefore, while every effort has been made to ensure that no such intellectual property is utilized except with permission or as permitted under the applicable law. However, despite that, should you believe that any material on the Site is infringing, please contact us at the address provided below. In any such correspondence, please specify the works claimed to have been infringed along with a statement of ownership of such works, the content alleged to be infringing, contact information for yourself to allow us to contact you. Please also include an affidavit stating that the information you have provided is accurate and that you are authorized to act on behalf of the alleged owner.
Legal and Acceptable Use:
1. You shall not take any action or upload any content on or through our Site that:
  1. constitutes any illegal activity or violates any applicable law / regulations or advocates for any illegal activity;
  2. is false, misleading, or inaccurate;
  3. infringes any patent, trademark, trade secret, trade dress, copyright or any intellectual property law;
  4. is threatening, discriminatory, violent, abusive, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, offensive, hateful, racially or ethnically offensive, or is otherwise inappropriate as determined by us in our sole discretion;

  6. constitutes unauthorized or unsolicited advertising, or spamming (sending junk and bulk e-mails);
  7. impersonates any person or entity;
  8. contains software viruses or any other codes, files, worms, trojans, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware or device or to damage or obtain unauthorized access to any system, data, password or other information of ours or of any third party;
  9. includes anybody’s personal or sensitive information; and
  10. pertains to terrorist content or supports or glorifies terrorism or militancy;
  11. Circumvents, or attempts to circumvent, any access or use restrictions, data encryption or content protection related to the Site;
  12. Mines or attempts to mine data from the Site or in any way cause harm to or burden the Site;
  13. purports to advertise or perform any commercial solicitation of any kind whatsoever.
2. Any material that you submit to the Site, whether directly or via third party online services or applications including, without limitation, content, information, ideas, comments, blogs, audio, video, and audiovisual or other materials (“Submitted Materials“) shall be subject to the applicable terms and conditions set forth herein.
3. Any communication or Submitted Materials transmitted to us will be treated as non-confidential and non-proprietary. By sending / posting the material, you grant Green & White the rights to use the material.
4. In the event of any conflict between this User Agreement and the terms of use / service of a third party online service used by you to submit the Submitted Materials, our Terms of Use shall prevail.
5. You are entirely responsible for everything you upload, post, email or otherwise make available on the Site. However, by uploading, posting, or otherwise making available any communications or Submitted Material on the Site, you grant to Green & White the non-exclusive, royalty-free perpetual right and license to: exhibit, display, and distribute through any manner your Submitted Materials or any communications via our Site or all forms of media throughout the world in perpetuity; exhibit excerpts of the Submitted Materials via all forms of media throughout the world in perpetuity solely for promotional purposes. The above rights/license(s) are granted solely in consideration of the possibility of publicity and professional credit and you acknowledge that you shall not be entitled to any monetary compensation for the same.
Unauthorized access:
1. You will create a username and password upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. Please refrain from publishing, distributing or posting login information for your user account and log-out at the end of each session.
2. You must notify us immediately of any change in your eligibility or log-in credentials to use the Site, of if there has been any breach of security or unauthorized use of your user account. Any unauthorized use of your password or account or any other breach of security must be immediately notified to us.
3. We will not be responsible or liable for any loss or damage arising from or in connection with your failure to adequately secure your account through inter alia, choosing a strong password, changing your password regularly, not disclosing your log-in credentials, not making them publicly available, or failing to log-out of sessions. or failing to notify us of any unauthorized use immediately.
Violation:
1. You are under an obligation to use our Site only in accordance with this User Agreement and our policies. We retain the unqualified right to deactivate or block your usage of the Site, if we determine – in our sole discretion and without notice – that your usage of the Site is not in conformity with this User Agreement or our policies; or that you have otherwise acted inappropriately; or infringed the intellectual property of others; or provided any inaccurate or unverifiable information; or uploaded or transmitted unauthorized Submitted Materials to the Site. We may also de-activate your account either temporarily (pending any investigation) or permanently following any complaints regarding usage. This is notwithstanding (and without prejudice to) any other remedies that we may have in such a scenario.
Availability of Content:
1. We do not guarantee that any particular content will be made available on the Site. We reserve the right to, but do not have any obligation to, (i) remove, edit, modify or otherwise manipulate any content in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such content or if we are concerned that you may have violated this User Agreement), or for no reason at all and (ii) to remove or block any content from the Site.

You agree to our data practices, including the collection, use, processing, and sharing of your information as described in our Privacy Policy.

We have no control over such External Sites and the products and resources they provide. Further, we do not author, edit, or monitor those External Sites. Green & White hereby grants you a non-exclusive, limited license, revocable at Green & White’s discretion, for you to link to Green & White’s home page from any site you own or control that is not commercially competitive to Green & White and does not criticize or otherwise injure Green & White, so long as the site where the link resides, and all other locations to which such site links, comply with all applicable laws and do not in any way abuse, defame, stalk, threaten or violate the rights of privacy, publicity, intellectual property or other legal rights of others or, in any way, post, publish, distribute, disseminate or facilitate any inappropriate, infringing, defamatory, profane, indecent, obscene or illegal/unlawful information, topic, name or other material. Such a link is not an endorsement of such other site(s) by Green & White and all of Green & White’s rights and remedies are expressly reserved.
No warranties:
1. You expressly acknowledge and agree that your use of the Site and Site related materials is at your sole risk. All content on our site is made available “as is”, “as available” and we do not offer any representations or warranties of any kind, either express or implied, including (but not limited to) the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
2. We also do not represent or warrant that the content on our Site will always be accurate, complete, or error-free; or that the functions of the Site will be uninterrupted or error-free; or that any defects or errors will be corrected; or that the Site or the server (that makes the site available) shall always be free from viruses or other harmful components. Under no circumstances will Green & White be liable in any way for any material, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any material posted, emailed or otherwise transmitted via the Site.
5. If you find any material on the site objectionable, do not use the site.
Limitation of liability:
1. Under no circumstances, including negligence, shall we or our partners, parents, subsidiaries, affiliates, or licensors, or any of our/their officers, directors, employees, be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages that may result from the access of, use of or inability to use our Site, from the content (or lack thereof) on our Site, use of or reliance on information on the Site, unauthorized access to or alteration of your transmissions or your data, interruptions, errors, defects, mistakes, omissions, deletions of files, delays in operation or transmission, non-delivery of information, disclosure of communications, or any other failure of performance. Service exceptions:

We reserve the right to modify, withdraw, suspend or discontinue, temporarily or permanently, at any time and from time to time any materials, information or content available on the Site and any functionality or features in or on the Site, including the cessation of all activities associated with the Site, with or without notice. You agree that we shall not be liable to you for any such modification, withdrawal, suspension, or discontinuance.
2. Our Site may be interrupted or taken offline at our sole discretion, including (but not limited to) for maintenance, repairs, upgrades, or network or equipment failures. We may also discontinue some or all of our service(s) or Site, including certain features and the support for certain devices and platforms, at any time. Events beyond our control may also affect our Site, such as events in nature and other force majeure events.
Termination of services:
1. We may terminate your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your account. If you wish to de-activate your account, you may do so by following the instructions on the Site.
Updates:
1. From time to time, we may provide updates to our Site and related service(s) and application(s) to improve their functionality, compatibility, or add features, or alter any aspect of the Site at our sole discretion. These updates can also include security patches to address any vulnerabilities that may be discovered or may arise. Dispute Resolution:
1. All disputes, differences or questions arising out of and related to this User Agreement shall be referred to arbitration. The arbitration will be administered by a single arbitrator to be appointed by agreement between you and Green & White, or failing such agreement, by a court of competent jurisdiction, in accordance with law. The arbitration proceedings shall be conducted in accordance with the Arbitration Act, 1940, or any amendment, substitution or re-enactment thereof and the rules made thereunder. The decision of the arbitrator shall be final and binding. The seat and venue of arbitration shall be Karachi and the language shall be English.
Miscellaneous:
1. Effective Date: This User Agreement shall become effective immediately upon your first usage of our Site.
2. Assignment: All of our rights and obligations under this User Agreement and Privacy Policy are freely assignable by us to any person at our sole discretion.
3. Severability: Each of the provisions of this User Agreement is severable and distinct from the others and if at any time one or more of such provisions is or becomes invalid, illegal or unenforceable, the validity and legality and enforceability of the remaining provisions hereof shall not in any way be affected or impaired thereby.
4. Indemnity: You irrevocably agree to indemnify and hold Green & White and our partners, parents, subsidiaries, affiliates, or licensors, or any of our/their officers, directors, employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party, arising out of or in connection with, the Submitted Materials you submit, post to or transmit to the Site, your use of the Site, your connection to the Site, your violation of this User Agreement or your violation of any rights of another party.
5. Distribution and Territorial Restrictions: The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Green & White to any registration requirement within such jurisdiction or country. This Site is controlled and operated by Green & White from its offices in Pakistan and, except as specifically provided herein, Green & White makes no representation that materials in the Site are appropriate or available for use in other locations. Access to the Site from other locations is purely on the user’s own initiative and risk and the users are responsible for compliance with local laws regarding online conduct and acceptable content. The use of, or access to, the Site shall not be construed as the purposeful availment of the benefits or privilege of doing business in any state other than in Karachi, Pakistan.
6. Waiver: Any delay or failure by Green & White to exercise or enforce any rights to which it may be entitled under this User Agreement shall not be construed as a waiver of the right to do so at any subsequent time, nor shall any exercise of such waiver on one occasion be construed as a general waiver, unless specifically reduced into writing. You irrevocably agree that you waive any and all rights to injunctive or other equitable relief.
7. Amendment: We reserve the right to change of modify this User Agreement at any time unilaterally. Such changes will be posted on the Site and your continued usage of the Site shall constitute your agreement and acceptance with the modification/change.
8. Entire Agreement: Except as specifically set forth herein, this User Agreement contains the entire agreement between you and us relating to the subject matter of this User Agreement, and the terms hereof supersede any and all prior written agreements, as well as any prior discussions, representations, understandings, or oral agreements relating to the subject matter hereof, and the terms hereof are intended to constitute a binding legal contract between the you and Green & White.
